These Terms of Service ("Terms") govern your access to and use of the Zynaris platform, website, accelerator programs, hackathons, and all related services (collectively, "Services") operated by Zynaris ("Zynaris," "we," "us," or "our"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, do not use our Services.
1. Eligibility
To use our Services, you must be at least 18 years of age and have the legal capacity to enter into binding contracts. By using the Services, you represent and warrant that you meet these requirements. If you are accessing the Services on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.
2. Accelerator & Hackathon Participation
Participation in Zynaris programs — including the Accelerator cohort and Hackathon — is subject to a separate application and selection process. Acceptance is at Zynaris's sole discretion. Submission of an application does not guarantee participation. Zynaris reserves the right to modify, suspend, or cancel any program at any time.
Participants in Zynaris programs agree to:
- Provide accurate and complete information in all applications and communications.
- Comply with all program rules, schedules, and deadlines communicated by Zynaris.
- Conduct themselves professionally and respectfully toward other participants, mentors, judges, and Zynaris staff.
- Not engage in any fraudulent, deceptive, or unlawful conduct in connection with the programs.
3. Intellectual Property
You retain full ownership of all intellectual property you create prior to and during participation in any Zynaris program. Zynaris does not claim any ownership rights over your project, code, designs, or other work product. Any investment or participation does not transfer IP rights to Zynaris unless separately agreed in a signed investment or participation agreement.
The Zynaris name, logo, website, and all associated content are the exclusive intellectual property of Zynaris. You may not use, copy, reproduce, or distribute any Zynaris-owned materials without prior written consent.
4. Investment Disclaimer
Nothing on this website or in any Zynaris communication constitutes investment advice, financial advice, or a solicitation to invest. Any reference to investment amounts, terms, or outcomes is for informational purposes only. Actual investment terms are subject to separate negotiation and execution of definitive legal agreements. Past performance of Zynaris portfolio companies does not guarantee future results.
Cryptocurrency and blockchain-based projects carry significant risk, including the risk of total loss of capital. You acknowledge these risks by participating in Zynaris programs or engaging with our content.
5. Confidentiality
In connection with Zynaris programs, you may share, or receive, confidential information including business plans, technical details, financial projections, and other proprietary information. Each party agrees to hold such information in confidence and not disclose it to third parties without prior written consent, except as required by law.
6. User Conduct
You agree not to use our Services to:
- Violate any applicable law or regulation.
- Infringe upon the intellectual property rights of any third party.
- Transmit any malicious code, viruses, or harmful content.
- Engage in spam, phishing, or deceptive practices.
- Attempt to gain unauthorized access to any systems or data.
7. Limitation of Liability
To the maximum extent permitted by applicable law, Zynaris shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of or inability to use the Services. In no event shall Zynaris's total liability exceed the amount paid by you, if any, for accessing the Services in the twelve months preceding the claim.
8. Disclaimer of Warranties
The Services are provided "as is" and "as available" without any warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. Zynaris does not warrant that the Services will be uninterrupted, error-free, or free of harmful components.
9. Changes to Terms
We reserve the right to modify these Terms at any time. Changes will be effective upon posting to this page with an updated date. Your continued use of the Services after any changes constitutes your acceptance of the new Terms. We encourage you to review these Terms periodically.
10. Governing Law
These Terms shall be governed by and construed in accordance with applicable law. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of the applicable jurisdiction.
